Welcome to EpulseMart. These Policies, Terms & Conditions ("Terms") govern your access to and use of the EpulseMart e-commerce platform, including our website, mobile applications, and related services (collectively, the "Platform"). By accessing or using the Platform, whether as a vendor, buyer, or general user, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

1. Definitions

  • "EpulseMart," "We," "Us," "Our": Refers to the EpulseMart e-commerce platform and its operating entity.
  • "User," "You," "Your": Refers to any individual or entity accessing or using the Platform, including Vendors and Buyers.
  • "Vendor": Refers to a User who registers on the Platform to list, advertise, and sell products.
  • "Buyer": Refers to a User who registers on the Platform to purchase products.
  • "Platform": Refers to the EpulseMart website, mobile applications, and all related services.
  • "Content": Refers to all information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials.

2. Agreement to Terms

By creating an account, making a purchase, listing a product, or otherwise using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any additional guidelines and future modifications. EpulseMart reserves the right to modify these Terms at any time. Such modifications will be effective immediately upon posting on the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.

Vendor Policies & Terms

These Vendor Policies & Terms ("Vendor Terms") govern your access to and use of the EpulseMart Platform as a Vendor. Our objective is to foster a transparent, equitable, and successful marketplace. Adherence to these policies is crucial for maintaining a trusted environment for all users.

1. Vendor Registration and Account

  • Eligibility: Vendors must be legally capable of entering into binding contracts. By registering, you represent that you have the authority to bind yourself or the business entity you represent to these Vendor Terms.
  • Registration Process: Vendors must complete a registration process, providing accurate and current business information. This information is essential for account setup and verification.
  • Free Trial & Subscription: New Vendors may be offered a 7-day free trial period. Continued access to Vendor privileges thereafter requires a monthly subscription fee of ₦1500 (Nigerian Naira), subject to change with prior notice.
  • Account Verification: EpulseMart will conduct verification of Vendor information to ensure authenticity and security of the marketplace. Cooperation with verification requests is mandatory.
  • Account Security: Vendors are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.

2. Product Listings and Store Management

High-quality and accurate product listings are fundamental to sales success and buyer trust.

  • Accurate Listings: Vendors must provide comprehensive and truthful product descriptions, specifications, high-quality actual images (not stock photos unless explicitly permitted for certain categories), and competitive pricing. Misrepresentation is strictly prohibited.
  • Prohibited Products: The sale of illegal, counterfeit, hazardous, or otherwise restricted items as determined by EpulseMart and applicable laws is strictly forbidden. A list of prohibited items may be provided and updated periodically.
  • Storefront Personalization: Vendors are encouraged to personalize their digital storefront within the Platform's capabilities to enhance brand presence and customer engagement.
  • Intellectual Property: Vendors warrant that they own or have the necessary rights to sell the products they list and that their listings do not infringe upon the intellectual property rights of any third party.

3. Order Fulfillment and Delivery

Efficient order fulfillment is key to a positive buyer experience.

  • Product Drop-off: Vendors are required to drop off confirmed order items at a designated EpulseMart pickup center. This service is free of charge for the Vendor.
  • Optional Logistics Service: Alternatively, Vendors may opt to use EpulseMart's logistics service for product pickup from their location. Applicable fees for this service will be deducted from the Vendor's payout.
  • Packaging and Last-Mile Delivery: EpulseMart will manage the packaging of products (unless specialized packaging is provided by the Vendor and agreed upon) and oversee the last-mile delivery to the Buyer.
  • Timely Processing: Vendors must prepare and drop off items for shipment promptly to meet EpulseMart’s delivery schedules and ensure buyer satisfaction.

4. Payments, Fees, and Earnings

We aim for a transparent and rewarding financial process for our Vendors.

  • Payment Processing: Payments for successfully delivered and confirmed orders will be processed and released to the Vendor’s designated account according to a set schedule, typically after the return/dispute period has lapsed.
  • Transaction Fees: EpulseMart charges a transaction fee of 3% per successfully completed sale. This fee is capped at a maximum of ₦3000 (Nigerian Naira) per single transaction. This fee is subject to change with prior notice.
  • Payouts: Payouts will be net of applicable transaction fees, logistics charges (if any), and other agreed-upon deductions.
  • Reporting and Transparency: Vendors will have access to a dashboard with detailed sales reports, fee breakdowns, and payout analytics.

5. Dispute Resolution and Vendor Support

Our goal is to minimize burdens on Vendors while ensuring fair outcomes.

  • Buyer Issue Management: EpulseMart will primarily handle buyer complaints, refund requests, and initial dispute resolution.
  • Vendor Cooperation: Vendors are required to respond promptly and accurately to any clarifications or information requests from EpulseMart related to buyer issues or disputes. Failure to cooperate may impact dispute outcomes.
  • Dispute Mediation: EpulseMart will review disputes objectively, considering information from both Buyer and Vendor, to reach a fair resolution in accordance with Platform policies.

6. Returns and Refunds

A clear returns process protects both Buyers and Vendors.

  • Return Management: Approved returns, based on EpulseMart's Buyer Policies, will be managed by EpulseMart.
  • Refund Policy: Refunds are processed by EpulseMart when deemed necessary (e.g., for defective products, incorrect items, non-delivery within stipulated timeframes attributable to the vendor before drop-off). Vendor input will be considered, but EpulseMart's decision on refunds, guided by its policies, is final. The cost of returned goods due to Vendor fault (e.g., wrong item, defect) may be debited from Vendor payouts.

7. Vendor Conduct and Marketplace Integrity

Maintaining a high standard of conduct is essential for a trustworthy marketplace.

  • Prohibited Conduct: Vendors shall not:
    • Engage in deceptive or misleading listings or advertising.
    • Attempt to divert Buyers away from the EpulseMart Platform for transactions.
    • Fail to honor confirmed orders or commitments made on the Platform.
    • Manipulate pricing or search results.
    • Engage in any activity that undermines the integrity of the EpulseMart marketplace or its users.

8. Account Management and Compliance

Proactive account management contributes to a thriving marketplace presence.

  • Account Activity: Vendors are expected to maintain an active store by regularly managing listings, inventory, and promptly responding to any communications from EpulseMart.
  • Compliance with Policies: Vendors must adhere to all EpulseMart policies, including these Vendor Terms and any updates. Vendors will be notified of significant policy changes.
  • Suspension and Termination: EpulseMart reserves the right to suspend or terminate a Vendor's account for violations of these Terms or other Platform policies, or for any activity deemed harmful to the Platform or its users.

Buyer Policies & Terms

These Buyer Policies & Terms ("Buyer Terms") ensure a safe, transparent, and enjoyable shopping experience on EpulseMart. We prioritize fund security, product quality assurance, and accessible customer support.

1. Shopping and Order Placement

Our platform is designed to provide confidence and security in your purchases.

  • Fund Security:
    • For products designated as "vettable" (e.g., pre-owned, refurbished), Buyer funds may be held by EpulseMart until the Buyer confirms satisfactory receipt and inspection of the product, or a set period elapses.
    • For "sealed" (new) products, Buyers have the option to inspect items at EpulseMart pickup centers before final acceptance.
  • Order Confirmation: Upon placing an order, you will receive an electronic confirmation. This confirmation signifies our receipt of your order but does not constitute acceptance or confirmation of an offer to sell.
  • No Cancellations: Once an order is placed and payment is confirmed, it cannot be cancelled by the Buyer. This policy enables efficient order processing by Vendors and EpulseMart. Please review your order carefully before submission. Exceptions may be considered solely at EpulseMart's discretion under extraordinary circumstances.

2. Payments and Security

We offer secure and varied payment options for your convenience.

  • Payment Methods: EpulseMart accepts various payment methods, including but not limited to credit/debit cards, mobile wallets, and bank transfers, through secure third-party payment gateways.
  • Price Transparency: The total price, including product cost, applicable taxes, and shipping/pickup fees, will be clearly displayed at checkout before payment confirmation. There are no hidden charges.
  • Transaction Security: We employ industry-standard security measures, including encryption and secure payment gateways, to protect your financial information during transactions. However, no system is impenetrable, and we cannot guarantee absolute security.

3. Delivery and Pickup

Choose the fulfillment option that best suits your needs.

  • Pickup Centers: Buyers can opt to collect their orders from designated EpulseMart pickup centers for a fixed fee. You will be notified when your order is ready for collection.
  • Home Delivery: Home delivery is available at a variable rate depending on the delivery location and order specifics. Delivery times are estimates and may vary.
  • Inspection at Pickup: For items collected at pickup centers, especially sealed products, Buyers are encouraged to inspect their items to ensure they are as described and undamaged before leaving the center.

4. Returns and Refunds

Our refund process is designed to be straightforward and fair.

  • Eligibility for Returns: Items may be eligible for return if they are significantly not as described, defective, damaged upon arrival (and reported immediately), or if the wrong item was received.
  • Return Process:
    • To initiate a return, Buyers must contact EpulseMart Customer Support within a specified period (e.g., 24-72 hours) from receipt or pickup, providing order details and reasons for the return.
    • Returned items must be in their original condition, unused, and with all original packaging, tags, and accessories intact.
  • Refund Processing: Approved refunds will be processed by EpulseMart to the original payment method or as store credit, at EpulseMart's discretion. Processing times for refunds may vary.
  • Non-Returnable Items: Certain items may be non-returnable for hygiene or other reasons (e.g., perishables, intimate apparel, digital goods), as specified in the product listing or EpulseMart policy.

5. Buyer Responsibilities and Conduct

Responsible use of the Platform ensures a positive experience for all.

  • Accurate Information: Buyers are responsible for providing accurate and up-to-date personal, contact, and shipping information. EpulseMart is not liable for issues arising from incorrect information provided by the Buyer.
  • Respectful Interaction: Buyers must interact respectfully and professionally with EpulseMart staff and, if applicable, Vendors through mediated channels. Harassment or abuse is prohibited.
  • Prohibited Activities: Buyers shall not:
    • Submit fraudulent refund requests or place false orders.
    • Attempt to purchase illegal, counterfeit, or dangerous items.
    • Engage in any activity that disrupts the Platform or its services.

The following terms apply to all Users of the EpulseMart Platform, supplementing the specific Vendor and Buyer Policies where applicable.

1. Privacy and Data Protection

  • EpulseMart collects, uses, stores, and protects your personal data in accordance with our Privacy Policy (which should be a separate, detailed document linked here) and applicable data protection laws in Nigeria.
  • We implement reasonable data security measures, including encryption and secure servers, to safeguard your information.
  • The Platform uses cookies and similar tracking technologies to enhance user experience and for analytical purposes. Your consent for their use will be obtained as required by law.

2. Intellectual Property Rights

  • The EpulseMart name, logo, and any related trademarks or service marks are the exclusive property of EpulseMart. Unauthorized use of EpulseMart's intellectual property is strictly prohibited without prior written permission.
  • Users grant EpulseMart a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable right to exercise any and all copyright, trademark, publicity, and database rights you have in Content you provide, in any media known now or in the future.

3. Disclaimers and Limitation of Liability

  • The Platform and its services are provided on an "as is" and "as available" basis. EpulseMart makes no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, content, materials, or products included on the Platform.
  • EpulseMart does not warrant that the Platform, its servers, or e-mail sent from EpulseMart are free of viruses or other harmful components.
  • To the fullest extent permissible by applicable law, EpulseMart disclaims liability for issues beyond its direct control, including but not limited to, the quality, safety, or legality of items advertised, the truth or accuracy of listings, the ability of Vendors to sell items, or the ability of Buyers to pay for items. EpulseMart is a marketplace facilitator.
  • EpulseMart will not be liable for any damages of any kind arising from the use of this Platform, including, but not limited to direct, indirect, incidental, punitive, and consequential damages, unless otherwise specified in writing. Our liability in any circumstance is limited to the greater of (a) the total fees you paid to us in the 12 months prior to the action giving rise to liability, or (b) ₦10,000 (Nigerian Naira).

4. Amendments to Terms

  • EpulseMart reserves the right to modify, amend, or update these Terms at its sole discretion at any time.
  • Users will be notified of significant changes to these Terms via email, platform notifications, or by posting the updated Terms on the Platform. The "Last Updated" date at the top of the Terms will indicate the latest revision.
  • Your continued use of the Platform after such modifications constitutes your acceptance of the amended Terms.

5. Governing Law and Dispute Resolution

  • These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
  • Any disputes arising from these Terms or your use of the Platform will first be attempted to be resolved through amicable negotiation. If negotiation fails, disputes shall be submitted to mediation administered by a recognized mediation center in Nigeria. If mediation is unsuccessful, disputes may then be resolved by binding arbitration in accordance with the Arbitration and Conciliation Act of Nigeria, with arbitration taking place in [Specify City, e.g., Lagos or Benin City], Nigeria.

6. Account Termination and Suspension

  • EpulseMart reserves the right, without notice and in its sole discretion, to terminate or suspend your account and your access to the Platform if you violate these Terms, engage in fraudulent or illegal activities, or for any other reason deemed necessary to protect the integrity and security of the Platform and its users.
  • An appeals process may be available for suspended or terminated accounts, details of which will be provided upon request or at the time of action, where feasible.

7. Force Majeure

  • Neither EpulseMart nor any User shall be liable for any failure or delay in performing their obligations under these Terms where such failure or delay results from any cause beyond their reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials ("Force Majeure Event").

8. Severability

If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

9. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies published by EpulseMart on the Platform, constitute the entire agreement between you and EpulseMart concerning your use of the Platform and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.
