Vendor Policies & Terms
These Vendor Policies & Terms ("Vendor Terms") govern your access to and use of the EpulseMart Platform as a Vendor. Our objective is to foster a transparent, equitable, and successful marketplace. Adherence to these policies is crucial for maintaining a trusted environment for all users.
1. Vendor Registration and Account
- Eligibility: Vendors must be legally capable of entering into binding contracts. By registering, you represent that you have the authority to bind yourself or the business entity you represent to these Vendor Terms.
- Registration Process: Vendors must complete a registration process, providing accurate and current business information. This information is essential for account setup and verification.
- Free Trial & Subscription: New Vendors may be offered a 7-day free trial period. Continued access to Vendor privileges thereafter requires a monthly subscription fee of ₦1500 (Nigerian Naira), subject to change with prior notice.
- Account Verification: EpulseMart will conduct verification of Vendor information to ensure authenticity and security of the marketplace. Cooperation with verification requests is mandatory.
- Account Security: Vendors are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.
2. Product Listings and Store Management
High-quality and accurate product listings are fundamental to sales success and buyer trust.
- Accurate Listings: Vendors must provide comprehensive and truthful product descriptions, specifications, high-quality actual images (not stock photos unless explicitly permitted for certain categories), and competitive pricing. Misrepresentation is strictly prohibited.
- Prohibited Products: The sale of illegal, counterfeit, hazardous, or otherwise restricted items as determined by EpulseMart and applicable laws is strictly forbidden. A list of prohibited items may be provided and updated periodically.
- Storefront Personalization: Vendors are encouraged to personalize their digital storefront within the Platform's capabilities to enhance brand presence and customer engagement.
- Intellectual Property: Vendors warrant that they own or have the necessary rights to sell the products they list and that their listings do not infringe upon the intellectual property rights of any third party.
3. Order Fulfillment and Delivery
Efficient order fulfillment is key to a positive buyer experience.
- Product Drop-off: Vendors are required to drop off confirmed order items at a designated EpulseMart pickup center. This service is free of charge for the Vendor.
- Optional Logistics Service: Alternatively, Vendors may opt to use EpulseMart's logistics service for product pickup from their location. Applicable fees for this service will be deducted from the Vendor's payout.
- Packaging and Last-Mile Delivery: EpulseMart will manage the packaging of products (unless specialized packaging is provided by the Vendor and agreed upon) and oversee the last-mile delivery to the Buyer.
- Timely Processing: Vendors must prepare and drop off items for shipment promptly to meet EpulseMart’s delivery schedules and ensure buyer satisfaction.
4. Payments, Fees, and Earnings
We aim for a transparent and rewarding financial process for our Vendors.
- Payment Processing: Payments for successfully delivered and confirmed orders will be processed and released to the Vendor’s designated account according to a set schedule, typically after the return/dispute period has lapsed.
- Transaction Fees: EpulseMart charges a transaction fee of 3% per successfully completed sale. This fee is capped at a maximum of ₦3000 (Nigerian Naira) per single transaction. This fee is subject to change with prior notice.
- Payouts: Payouts will be net of applicable transaction fees, logistics charges (if any), and other agreed-upon deductions.
- Reporting and Transparency: Vendors will have access to a dashboard with detailed sales reports, fee breakdowns, and payout analytics.
5. Dispute Resolution and Vendor Support
Our goal is to minimize burdens on Vendors while ensuring fair outcomes.
- Buyer Issue Management: EpulseMart will primarily handle buyer complaints, refund requests, and initial dispute resolution.
- Vendor Cooperation: Vendors are required to respond promptly and accurately to any clarifications or information requests from EpulseMart related to buyer issues or disputes. Failure to cooperate may impact dispute outcomes.
- Dispute Mediation: EpulseMart will review disputes objectively, considering information from both Buyer and Vendor, to reach a fair resolution in accordance with Platform policies.
6. Returns and Refunds
A clear returns process protects both Buyers and Vendors.
- Return Management: Approved returns, based on EpulseMart's Buyer Policies, will be managed by EpulseMart.
- Refund Policy: Refunds are processed by EpulseMart when deemed necessary (e.g., for defective products, incorrect items, non-delivery within stipulated timeframes attributable to the vendor before drop-off). Vendor input will be considered, but EpulseMart's decision on refunds, guided by its policies, is final. The cost of returned goods due to Vendor fault (e.g., wrong item, defect) may be debited from Vendor payouts.
7. Vendor Conduct and Marketplace Integrity
Maintaining a high standard of conduct is essential for a trustworthy marketplace.
- Prohibited Conduct: Vendors shall not:
- Engage in deceptive or misleading listings or advertising.
- Attempt to divert Buyers away from the EpulseMart Platform for transactions.
- Fail to honor confirmed orders or commitments made on the Platform.
- Manipulate pricing or search results.
- Engage in any activity that undermines the integrity of the EpulseMart marketplace or its users.
8. Account Management and Compliance
Proactive account management contributes to a thriving marketplace presence.
- Account Activity: Vendors are expected to maintain an active store by regularly managing listings, inventory, and promptly responding to any communications from EpulseMart.
- Compliance with Policies: Vendors must adhere to all EpulseMart policies, including these Vendor Terms and any updates. Vendors will be notified of significant policy changes.
- Suspension and Termination: EpulseMart reserves the right to suspend or terminate a Vendor's account for violations of these Terms or other Platform policies, or for any activity deemed harmful to the Platform or its users.
